Welcome to the Delaware Secretary of State’s Voluntary Disclosure Agreement (VDA) website. In 2012, Governor Jack Markell and the legislature created a new, more business friendly voluntary disclosure program with the Delaware Secretary of State’s Office to allow companies to “catch up” on their past due unclaimed property obligations, avoid an audit, and significantly reduce their liability, all at the same time.

Delaware had previously permitted Voluntary Disclosure Agreements under the purview of the Delaware Department of Finance for many years. However, in 2012 Governor Jack Markell and the Delaware General Assembly created the Secretary of State’s Voluntary Disclosure Agreement Program. Since then more than 700 companies of all types (large, small, multi-national, regional, simple, and complex) have enrolled in the Voluntary Disclosure Agreement Program. Due to its success, in July 2015, the VDA Program was permanently placed under the purview of the Secretary of State and additional changes were made to Delaware’s unclaimed property compliance structure as follows.

DOS Voluntary Disclosure Agreement (VDA)

Effective July 1, 2015, no new audits may be commenced unless:

Delaware business entities were eligible to enroll in the Secretary of State’s VDA Program through the enrollment deadline of September 30, 2014. We are pleased to report that more than 700 companies elected to enroll in the program.

The Secretary of State’s Office will be working with enrollees to assist them in completing the program through 2016. The Delaware Voluntary Disclosure Agreement website remains available for informational purposes only.

Companies continue to be eligible to enroll in the Voluntary Disclosure Program administered by the Delaware Department of Finance and may access enrollment information at the Department of Finance Unclaimed Property page.
